These Website Terms of Use ("Terms") govern your access to and use of the StageTimer Live websites, including the self-serve portal and related online services (the "Site" and "Services").
1. Acceptance
By accessing or using the Site or Services, you agree to these Terms. If you do not agree, do not use the Site or Services.
2. Accounts and eligibility
2.1 You may need an account to access the Services. You are responsible for maintaining account security and for all activities under your account.
2.2 You represent that you have authority to bind your organization if you create or manage an organization account.
3. Self-serve, credits, and payments
3.1 Credits as prepaid usage units. Credits are prepaid usage units used to activate paid functionality of StageTimer Live. Credits are not money, do not represent stored value, are not a deposit, and have no cash value outside the platform.
3.2 No refunds. Except where required by mandatory law, all purchases are final and non-refundable, including unused or consumed credits.
3.3 Payment providers and fees. Payments are processed through third-party payment providers. You acknowledge that Realise ICT incurs operational, payment processing, and infrastructure costs upon purchase and service operation.
3.4 Chargebacks and reversals. If a payment is reversed, charged back, refunded, or otherwise not received by Realise ICT, Realise ICT may suspend access, revoke entitlements, and deduct/disable credits associated with the reversed payment.
3.5 Pricing changes. Realise ICT may change prices, credit packages, and consumption rates at any time. Changes apply prospectively.
4. Claim codes, organization binding, and entitlements
4.1 The Services may provide claim codes used to link a local StageTimer Live installation to an organization wallet/account.
4.2 Claim codes are restricted as determined by Realise ICT and are not transferable, resalable, or sublicensable.
4.3 Entitlements may be cryptographically signed, time-limited, and require periodic validation. If validation cannot be performed and any applicable grace period ends, entitlements may revert to Basic functionality until validation succeeds again.
5. Acceptable use
You agree not to:
- attempt to gain unauthorized access to any systems, accounts, or networks;
- scrape, crawl, or use automated means to access the Site except where explicitly permitted;
- attempt to bypass plan limits, entitlement validation, credit enforcement, cryptographic signatures, caches, or security controls;
- upload or transmit malicious code, or interfere with the Site's operation;
- use the Services unlawfully or to infringe the rights of others.
6. Intellectual property
The Site, Services, and all content (including logos, text, design, and software) are owned by Realise ICT or its licensors and are protected by intellectual property laws. You may not use Realise ICT trademarks without prior written permission.
7. Third-party services
The Services may integrate third-party services (e.g., payment providers, analytics, hosting). Realise ICT is not responsible for third-party services and their terms may apply.
8. Availability and changes
We may modify, suspend, or discontinue any part of the Site or Services at any time, including features, pricing, or availability.
9. Disclaimers
To the maximum extent permitted by law, the Site and Services are provided "as is" and "as available" without warranties of any kind.
10. Limitation of liability
To the maximum extent permitted by law:
- Realise ICT is not liable for indirect or consequential damages; and
- Realise ICT's total liability will not exceed the fees actually paid by you to Realise ICT for the Services in the twelve (12) months preceding the event giving rise to the claim, excluding VAT and excluding any amounts refunded or charged back.
This limitation does not create any right to a refund; refunds are governed by Section 3 and mandatory law.
11. Suspension and termination
We may suspend or terminate access if you breach these Terms, attempt circumvention, or if payments are reversed/charged back.
12. Governing law
These Terms are governed by the laws of the Netherlands. Disputes shall be submitted to the competent courts in the Netherlands.
