StageTimer Live - End User License Agreement (EULA v2.1)

Website / Services: StageTimer Live Cloud services are accessible via Realise ICT-controlled domains, including the self-serve portal.

This End User License Agreement ("Agreement") is a legal agreement between you (an individual or legal entity, "you") and Realise ICT B.V. governing your use of the Software and related services.

1. Acceptance

By downloading, installing, accessing, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.

3. License grant (licensed, not sold)

The Software is licensed, not sold. Subject to your compliance with this Agreement, Realise ICT grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software solely for your internal business use.

4. Plans, credits, and entitlement validation

4.1 Basic mode. The Software may operate in a Basic mode without payment, which may include functional limitations (for example, caps on timers and/or output duration).

4.2 Paid plans via credits. Additional plans (such as Silver, Gold, and Platinum) may be activated through Credits purchased via StageTimer Live Cloud (including the self-serve portal).

4.3 Claim codes and organization binding. Paid functionality is activated by entering a claim code that links a local installation to an organization wallet/account in StageTimer Live Cloud. Claim codes are restricted as determined by Realise ICT and are not transferable, resalable, or sublicensable.

4.4 Cryptographic entitlements and periodic validation. Your plan and feature access may require periodic validation with StageTimer Live Cloud. Entitlements may be cryptographically signed and time-limited.

4.5 Grace and offline behavior. If cloud validation is temporarily unavailable, the Software may continue operating based on the last verified entitlements for a limited grace period (if any). After expiry of entitlements and applicable grace, the Software will revert to Basic mode until validation succeeds again.

4.6 No ownership of plan features. Activation of paid plans does not grant ownership of any features and does not create any perpetual right to paid functionality.

5. Credits (prepaid usage units; no refunds; not money)

5.1 Credits are not money; no stored value. Credits are prepaid usage units that enable access to paid functionality. Credits are not money, do not represent stored value, do not constitute a deposit, and have no cash value outside Realise ICT's platform. You acknowledge that Realise ICT is not a bank or payment institution and does not hold customer funds for withdrawal.

5.2 Consumption equals delivery. Credits are consumed as the Software and related services are used. Once credits are consumed, the corresponding service is deemed delivered.

5.3 No refunds (unused or consumed). Except where required by mandatory law, all purchases are final and non-refundable, including for unused or consumed credits. You acknowledge that Realise ICT incurs operational, payment processing, and infrastructure costs (including fees charged by payment providers and hosting providers) upon credit purchase and service operation, and that the pay-as-you-go model is intended to avoid large upfront commitments.

5.4 Price changes. Realise ICT may change pricing, credit packages, and consumption rates from time to time. Any changes apply prospectively and do not create any right to a refund except where required by mandatory law.

5.5 Records govern consumption. Realise ICT's records (including self-serve portal data, entitlement logs, usage/publishing telemetry, and related service logs) will be used to determine credit balances, consumption, and service delivery, unless you can prove otherwise with compelling evidence.

5.6 Chargebacks and reversals. If a payment is reversed, charged back, refunded, or otherwise not received by Realise ICT, Realise ICT may suspend entitlements and access and may deduct, disable, or void credits associated with the reversed payment or transaction.

5.7 Fraud or bad faith. Realise ICT may deny any request for refund or compensation and may suspend access if Realise ICT reasonably determines that a claim is fraudulent, abusive, or made in bad faith.

6. LAN views and limited screen actions

6.1 LAN views. The Software may expose read-only views on a local network (LAN) (for example Output/Backstage/Schedule/Kiosk), enabling event operations across devices.

6.2 Limited screen actions. Certain actions initiated from LAN views (for example displaying or rotating a join code, triggering a notification, or opening a mobile/PWA link) may be available only when permitted by your Entitlements and may require a short-lived screen capability token issued by the Software.

6.3 No circumvention. You may not use LAN views, tokens, caches, binding files, or network access to bypass plan limits, entitlement validation, credit enforcement, or security controls.

7. Restrictions (no resale, no redistribution, no circumvention)

You may not, and you agree not to allow others to:

Any attempt to circumvent entitlement enforcement or security measures is a material breach of this Agreement and may result in immediate suspension/termination and other remedies.

8. Ownership and intellectual property

Realise ICT and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted except as expressly set forth herein.

9. Updates and changes

Realise ICT may provide updates, patches, or upgrades. Updates may change or remove features, including enforcement behavior, to improve security, compliance, or performance. Some updates may be required for continued use of StageTimer Live Cloud.

10. Third-party and open source components

The Software may include third-party components, including open source software. Such components are licensed under their respective licenses. Required notices and license texts are provided in a THIRD_PARTY_NOTICES file (or equivalent) distributed with the Software.

11. Privacy and data

The Software and StageTimer Live Cloud may process information necessary to provide services (for example organization identifiers, event identifiers, entitlement validation metadata, usage metrics, and operational telemetry) according to Realise ICT's Privacy Policy and applicable law. Where the Software is used in connection with cloud services, network communication may be required for entitlement validation and related operations.

12. Suspension and termination

This Agreement is effective until terminated. Realise ICT may terminate or suspend your license immediately if you breach this Agreement, including circumvention or misuse. Upon termination, you must cease all use and delete all copies of the Software.

13. Disclaimer of warranties

To the maximum extent permitted by law, the Software is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Realise ICT does not warrant uninterrupted or error-free operation.

14. Limitation of liability

14.1 Exclusion of damages. To the maximum extent permitted by law, Realise ICT shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, business, or goodwill, arising out of or related to the Software or this Agreement, even if advised of the possibility.

14.2 Liability cap. To the maximum extent permitted by law, Realise ICT's total aggregate liability for all claims arising out of or related to the Software or this Agreement shall not exceed the total fees actually paid by you to Realise ICT for the Software and related services in the twelve (12) months preceding the event giving rise to the claim, excluding VAT and excluding any amounts refunded or charged back.

14.3 No refund right created. The limitation of liability in this Agreement does not create any right to a refund. Refunds, if any, are governed solely by Section 5 (Credits) and mandatory law.

15. Export and compliance

You agree to comply with applicable export control laws and regulations. You may not use or export the Software in violation of applicable laws.

16. Governing law and jurisdiction

This Agreement is governed by the laws of the Netherlands, excluding conflict-of-law rules. Any dispute shall be submitted to the competent courts in the Netherlands.

17. Miscellaneous

If any provision is held unenforceable, the remaining provisions remain in effect. This Agreement constitutes the entire agreement regarding the Software and supersedes prior agreements regarding the Software. You may not assign this Agreement without Realise ICT's prior written consent.
